Acceptance of Terms

These Terms of Use (“Terms”) are entered into by and between you and Tick City Trading (“Tick City,” “Company,” “we,” “our,” or “us”). These Terms govern your access to and use of the Tick City Trading website, software, evaluations, funded account programs, simulated trading environment, dashboards, educational materials, and all related services (collectively, the “Services”). By accessing or using Tick City Trading services, you acknowledge that you have read, understood, and agreed to these Terms of Use and our Privacy Policy. If you do not agree to these Terms, you may not access or use Tick City Trading services.

Eligibility

To access or use Tick City Trading services, you must be at least eighteen (18) years old and legally capable of entering into binding agreements. By using the platform, you represent and warrant that you comply with all laws and regulations applicable within your jurisdiction. Tick City Trading reserves the right to deny, restrict, suspend, or terminate access to any individual or entity at its sole discretion.

Simulated Trading Environment

Tick City Trading primarily operates within a simulated trading environment. All evaluation accounts, performance metrics, dashboards, and funded models may involve simulated trading conditions. Simulated trading results: Do not represent real market execution. May differ from live market conditions May not reflect liquidity, slippage, latency, or emotional factors Are hypothetical in nature. Performance achieved within the Tick City Trading environment does not guarantee future live trading profitability.

CFTC Rule 4.41 Disclaimer

HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN LIMITATIONS. Unlike actual trading performance, simulated results do not represent real trades executed in live markets. Because trades have not actually been executed, results may undercompensate or overcompensate for market factors including liquidity, volatility, and slippage. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.

Account Access and Security

Users are solely responsible for maintaining the confidentiality and security of their account credentials, passwords, login devices, and any information associated with their Tick City Trading account. Accounts are personal and may not be shared, transferred, sold, rented, or operated by third parties unless explicitly authorized by Tick City Trading. Any unauthorized access, suspicious activity, or breach of account security must be reported immediately. Tick City Trading reserves the right to suspend or permanently terminate accounts suspected of abuse, fraud, unauthorized access, manipulation, or attempts to circumvent company rules.

Evaluation Rules and Trading Conduct

All users agree to comply with Tick City Trading’s published evaluation rules, payout policies, funded account requirements, and platform standards. Trading activity that is considered exploitative, unrealistic, abusive, manipulative, or designed to unfairly benefit from simulated conditions is strictly prohibited. This includes, but is not limited to, latency exploitation, coordinated trading, account hedging, excessive automation abuse, prohibited high-frequency activity, platform manipulation, or any strategy deemed inconsistent with realistic market behavior. Tick City Trading maintains sole discretion in determining whether a user’s trading activity violates company policies, risk standards, or platform integrity requirements

Consistency Models

Tick City Trading may offer multiple evaluation or funded account structures, including but not limited to Evaluation Consistency Models. Funded Consistency Models. Static Drawdown Models. Trailing Drawdown Models.

Payouts

Payout eligibility is determined solely by Tick City Trading and remains subject to account standing, rule compliance, risk review, trading behavior analysis, and internal verification procedures. Tick City Trading reserves the right to approve, delay, deny, review, investigate, or withhold payouts where necessary to maintain platform integrity and enforce company rules. Any violation of Tick City Trading policies, including abusive trading activity, prohibited strategies, platform exploitation, or attempts to circumvent evaluation rules, may result in payout denial, forfeiture of profits, suspension of account privileges, or permanent termination.

Refund Policy

Tick City Trading maintains a strict no-refund policy once account access has been granted or any trading activity has occurred. Refund requests may only be considered for accounts that have never been traded and remain in good standing. Any refund request submitted remains entirely subject to Tick City Trading’s review and sole discretion. Users acknowledge that services are considered rendered once platform access, account credentials, or evaluation access has been delivered.

Chargebacks and Payment Disputes

By purchasing Tick City Trading services, you agree not to initiate fraudulent chargebacks or payment disputes. Improper or abusive chargebacks may result in: Permanent account bans. Loss of funded access. Forfeiture of payouts. Legal recovery action Tick City Trading reserves the right to pursue recovery of disputed funds, processing fees, damages, and legal costs.

Intellectual Property

All Tick City Trading branding, logos, dashboards, software, designs, graphics, systems, and content are protected intellectual property owned by Tick City Trading. Users may not: Reproduce company materials. Copy branding. Resell platform access. Clone website content. Use company assets commercially without permission.

Third-Party Services

Tick City Trading may integrate with third-party: Trading platforms. Broker technologies. Data providers. Payment processors. Software systems. Tick City Trading is not responsible for: Third-party outages. Data inaccuracies. Execution delays. Connectivity interruptions.

Disclaimer of Warranties

Tick City Trading services are provided on an “AS IS” and “AS AVAILABLE” basis. We make no guarantees regarding: Profitability. Performance. Platform uptime. Funding eligibility. Payout frequency. Error-free operation Users access and use Tick City Trading services entirely at their own risk.

Limitation of Liability

To the fullest extent permitted by law, Tick City Trading and its affiliates shall not be liable for: Trading losses. Lost profits. Technical failures. Platform interruptions. Data inaccuracies. Emotional distress. Indirect or consequential damages. Maximum liability shall not exceed: $100 USD, or. The amount paid by the user within the previous 14 days, whichever is greater.

Indemnification

Users agree to defend, indemnify, and hold harmless Tick City Trading and its affiliates from claims, damages, liabilities, losses, or expenses arising from: Violation of these Terms. Misuse of services. Fraudulent activity. Violation of applicable laws.

Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in Delaware.

Arbitration

Tick City Trading reserves the right to require disputes to be resolved through binding arbitration in accordance with applicable arbitration rules.

Class Action Waiver

Users agree to waive any right to participate in:

Collective proceedings

against Tick City Trading where permitted by law.

Changes to Terms

Tick City Trading reserves the right to modify these Terms at any time. Continued use of services following updates constitutes acceptance of revised Terms.

Termination

Tick City Trading reserves the right to suspend or terminate accounts at any time for: Rule violations. Abuse. Fraudulent activity. Chargebacks. Security concerns. Breach of these Terms Termination may occur without prior notice.
